• 大島和夫　　企業法における市場と規制

  現在の日本の企業制度改革にとって必要なものは、アメリカ型のコーポレート・ガバナンスの模倣ではない。９０年代の日本企業の経営を見る限り、最も緊急の課題は、経営者の責任を厳しく追及しうるシステムの構築であろう。そのためには、信認義務等の責任の強化で十分である。

  持ち合いの解消、系列の解消、長期的取引関係の見直し、長期的雇用関係の見直しなどは、日本の企業＝雇用システムの根幹にかかわることであり、もっとじっくりと時間をかけて検討すべき課題であって、まるで選挙対策のように急いで決定すべき事柄ではない。

  これに対しては、グローバル時代に、機敏な戦略が構築できないという反論があるが、しかし、株式資本主義がそれに答えうるかどうかは未知である。むしろ、２００２年までにアメリカで生じた事件を見る限り、怪しいというべきである。

  結局のところ、アメリカ型をとるか日本型でいくかは、日本の財界人と政治家の信念の問題に帰着するところが大きい。しかも、現実には、日米構造協議、経済協議と続いたアメリカの市場開放要求に応えるための受動的反応であったかもしれない。

  もちろん、規制緩和、民営化といった戦略目標をかかげることによって、何か別の目標を追求しようとすることがありうる。例えば、企業が国際競争に勝つために、内部資金を蓄積し、かつ、不必要と思う活動の負担を減らすことを目標にしているかもしれない。それは、反対から見れば、雇用責任を放棄し、税負担など当然の義務を軽減することにつながる。

  本研究においては、現在の日本の企業制度に求められているものは、経営者の責任を明確にし、有効にコントロールできる制度の設計であり、それは、アメリカ型の採用ではなく、従来の日本型の延長線上に十分に設計できる可能性があるのではないかということを明らかにした。SPCにしても、エンロンの教訓から学ぶ限り、経営者の責任を明確にする方向とは逆を向いていることは明らかである。

• 前山誠也　　グローバル経済における会計改革

  経済のグローバル化は、労働、商品、資本の地球的な移動をもたらした。しかし、現代経済の特性はこのような空間の物的な広がりとは別のところにある。グローバル化とは、むしろ、各国経済をローカルに規律していた「ルール空間」の地球化であった。自由市場の語感とは裏腹に、この自由は精妙なルールの上にデザインされている。グローバル化とは、実のところ、市場のルールの国際化（アメリカ型の単一化）であったといってよい。

  事情は、市場デザインの一つである会計の技術ルールについて同様である。とりわけ、市場信仰と不可分にある現代時価会計は、上のグローバリズムを象徴している。市場(理念)が完全なかたちに実現し得ないとき、往々、市場主義(現実)は破綻する。コーポレートガバナンス(CG)を検討課題とした本プロジェクトで、前山は、CGの一要因である時価会計の可能性と限界の検討を担当した。Milgrom and Robertsモデルに依りながら、不完全な市場における時価のジレンマが批判的に分析されている(詳細は公刊モノグラフ参照)。

• 上田義朗　　ラオス企業における経営戦略論

  ラオス企業３社の実態を紹介し、それぞれの経営戦略的な課題を検討した。個人企業のカンチャナでは、その店主の経営理念が明確であり、そのことが有効な差別化戦略を生み出している。そのことは、ニッチ市場での成長戦略を意味する。合併企業であるラオスビール社の事例では、AFTA実施後のグローバル競争における価格戦略やブランド戦略の重要性が指摘された。100%外資企業であるラオ=チャレンジ社では、ベトナム人技術者の有効活用や、国際市場における輸出促進の戦略について議論された。また森林伐採の割り当て制度などの政府の政策が企業経営に影響を及ぼすことが紹介された。

  これらの論点のいくつかは、先進国にも共通した普遍的な経営問題を含んでいると同時に、ラオス固有の経済的・政治的・文化(慣行・習慣・歴史)的な要因を反映している。そのラオス固有の要因は、先進国にない発展途上国に共通した要因も含まれている。

  先進国と発展途上国の間には経済関係が十分に持たれていない。それぞれの国では、経済・政治・文化という独自の領域をもちながら、それらが相互に影響を及ぼしあいながら、その国の特徴を形成している。本研究で分析したラオスのような状況は、いわば「鎖国」状態であり、先進国と発展途上国の経済・経営活動すら「国境」で区画されている。

  しかしながら経済成長にとって市場拡大が不可欠であるとすれば、経済・経営活動は必然的に国境を超える。先進国と発展途上国における経済・経営活動の領域が「接点」から「重複」の段階に進み、さらには「一体化・融合化」するということである。一体化した経済・経営活動には、先進国や発展途上国に共通した普遍的な経済・経営理論が存在する。そこには市場メカニズムや経営戦略の理論が含まれる。このような経済・経営活動の一体化が進行している状況が、経済および経営のグローバル化・国際化・ボーダレス化・統合化と通常は呼ばれている。

  普遍的な経済・経営理論に裏付けられた一体化した経済・経営活動であっても、先進国や発展途上国に固有の政治や文化の影響を受ける。各国の政治や文化の「相互交流」や「相互理解」はありえても、それらの一体化は困難だからである。地域性や国民性の中で政治や文化は長期間に渡って醸成されており、その国に対して粘着性がある。外国との一体化よりも、その逆に政治の「独立性」や文化の「固有性」の促進と維持が強調される。　

  進国の企業が発展途上国に進出し、その国の経済・経営の運営方式に外国人経営者が反発を感じることがある。すなわち、グローバルな経済や経営の常識からそれが逸脱していると考えるのである。しかし、先進国での経営活動が普遍的な理論に基づいているから、それが発展途上国でも通用するという主張は誤解もしくは牽強付会とみなされる。グローバル経済が両国に共通して浸透している(または、するべきである)という論理は確かに成立するが、それが各国固有の政治や文化の影響を現実に受けていることを失念している。 　筆者が提唱する「開発経営学」は、普遍的な経営学の論点を体系的に構成した内容を骨格として、発展途上国に共通した特殊性や固有性がそれを肉付けすることによって、その全体像が表現される。ラオスやベトナムなどの企業経営の事例をさらに収集しながら、骨格の全体像を模索することが今後の課題となる。 　これは、先進国の経済・経営活動の理論をそのまま発展途上国に移植するのではなく、発展途上国における経済・経営活動を理論化するということである。そこでは、先進国にも共通した普遍的な理論が含まれるが、発展途上国に固有の政治と文化の影響を受けた経済・経営現象が固有の研究対象となる。このような「開発経営学」の提示によって、発展途上国におけるビジネス教育は、より効果的・説得的に推進されると思われる。 ■　野方宏　コーポレート・ガバナンスとコントロール・メカニズム：規律付けをめぐって 　１９９０年代以降、わが国においてもコーポレート・ガバナンスの問題が議論されるようになってきた。本稿では、コーポレート・ガバナンスを株主(より一般的には資金提供者)と経営者の利害対立から生じる問題と捉え、株主による経営者の規律付けをコーポレート・ガバナンスの中心的課題と捉え、規律付けの問題(コントロール・メカニズム)を検討したものである。 　コントロール・メカニズムは大別すると、株主による「直接的」なものと市場による「間接的」なものに分けられる。本稿では、前者の内部的コントロール・メカニズムが検討される。取締役会の機能、機関投資家の役割に加えて、経営者インセンティブが取り上げられ、ストック・オプションや制限付き株式の付与に対して、「経営者の株主化」という観点からその有効性が論じられている。 　特に、経営者の株式所有と企業業績の改善との関係が「単調なもの」ではない、
